1. Agreement to Terms

By accessing or using Solex ("Service", "we", "us", "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

These Terms are governed by the laws of England and Wales, and disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

2. Description of Service

Solex is a business dashboard platform for solo founders and indie makers. During our early access period, we are collecting email addresses from interested users who wish to be notified when the platform launches.

The Service will provide tools to monitor and manage business metrics, including revenue, subscriptions, analytics, and integrations with third-party services. Features and availability are subject to change.

3. Early Access Waitlist

By providing your email address through our early access form, you agree to receive communications from us regarding the launch of Solex and related updates. You may unsubscribe at any time by contacting us.

Early access does not guarantee immediate access to the platform. We will notify waitlist members as access becomes available.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Violate or infringe upon the rights of others
• Transmit any viruses, malware, or other malicious code
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use automated means to access the Service without our permission
• Reverse engineer, decompile, or disassemble any part of the Service

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Fabian Martin (trading as Solex) and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written permission.

6. Third-Party Services

The Service may integrate with third-party services and platforms. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FABIAN MARTIN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

9. Indemnification

You agree to indemnify and hold harmless Fabian Martin from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service or violation of these Terms.

10. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in accordance with UK GDPR. Please review our Privacy Policy for more information.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Billing and Subscriptions

The following terms apply to paid subscriptions:

14.1 Payment Processing

• All payments are processed securely by Lemon Squeezy, our Merchant of Record
• Lemon Squeezy handles billing, VAT, sales tax, and payment data on our behalf
• Your card statement will show "Lemon Squeezy" or "LMS*Solex"
• We do not store your payment card details

14.2 Subscription Auto-Renewal

• Subscriptions automatically renew at the end of each billing period
• You will be charged the then-current subscription price
• You can cancel at any time to prevent future renewals
• Cancellation takes effect at the end of your current billing period

14.3 Cancellation

• You may cancel your subscription at any time through your account settings
• Or email us at support@solex.dev
• Upon cancellation, you retain access until the end of your paid period
• No partial refunds for unused time (except during money-back guarantee period)

14.4 Payment Failures

• If a payment fails, we will attempt to charge your card up to 3 times
• You will receive email notifications of payment failures
• If all retry attempts fail, your subscription will be suspended
• You can update your payment method in account settings
• Suspended accounts are deleted after 30 days of non-payment

14.5 Price Changes

• We reserve the right to change subscription prices
• Price changes will be communicated 30 days in advance
• New prices apply to renewals after the notice period
• You may cancel if you do not accept the new pricing

14.6 Refunds

Refunds are handled according to our Refund Policy. Please review it for full details on eligibility and process.

14.7 VAT and Sales Tax

• VAT and sales tax are handled by Lemon Squeezy as our Merchant of Record
• Prices shown exclude VAT/sales tax where applicable
• Tax will be calculated and displayed at checkout based on your location
• Lemon Squeezy provides VAT invoices for applicable jurisdictions
